THE DECISION-MAKING OR GOVERNANCE STRUCTURE IS DIVIDED INTO TWO BRANCHES:

The Board of Directors, a collegiate body that administers and represents the company, is the company's highest authority.

The Managing Director is the person responsible for leading and directing the entire management structure.
DECISION-MAKING BODIES
- Board of Directors; the company’s highest decision-making body. Made up of a maximum of fifteen members, it meets up periodically, as convened by the Chair or the person that stands in for them. The Board of Directors has full powers to intervene in all matters relating to representing the company and the monitoring and supervision of its management, as well as those set out in its Articles of Association.

Coordination with the Chair: the General Manager and Chair of the company coordinate and monitor B:SM’s operations at least once a month, as well as the municipal projects that B:SM takes part in or may take part in. It is during these meetings that the points which need to be presented to the Board of Directors and the important agreements which the B:SM’s Steering Committee need to take are prepared.
THE MANAGEMENT STRUCTURE
Headed by the Managing Director, Ms Marta Labata Salvador (see her CV and remuneration) as the most senior manager, it is the company’s internal structure, made up by people specialising in various areas of activity.
B:SM currently works in areas of activity that are very diverse in terms of type, scale and clients:

Municipal parking network.

Management of regulated street-level (Blue Area and Green Area) parking throughout the city of Barcelona.

Management of the Municipal Tow Service.

Management of two bus stations.

Bicing.

Management of the Olympic facilities: Palau Sant Jordi, Olympic Stadium and the Olympic Esplanade.

Management of the Parc del Fòrum

Coordination of the operators of Parc de Montjuïc.

This diversity of services provided means, on the one hand, the need for considerable knowledge and specialisation in the management of businesses and, on the other, availability of corporate services capable of absorbing the changes (in scale and type) that such diversification entails, hence its need for major coordination between B:SM's two management structures, business divisions and corporate divisions.
MANAGEMENT BODIES

General Management's Coordination Committee: made up of the General Manager and the two Deputy General Managers, it is the B:SM’s strategic coordination body. It brings together the coordination between its members, examines strategic issues and establishes the delegations, depending on the case, for attending certain forums or external meetings, especially those relating to projects that are co-managed with the Municipal Manager’s Office or with any of the City Council’s services. It meets once a fortnight.

Steering Committee: this is the body that examines the issues requiring specific information or processing and which adopts the agreements or decisions on the company’s management. It also acts as the company’s Management Procurement Board and the agreements it makes are valid proposals for presenting to the Contracting Authority. Headed by the General Manager, it is made up of the deputy general managers, the division managers and corporate managers, in addition to the legal adviser of the DGM of Operations, who acts as the contracting authority’s secretary. It meets once a fortnight.

Projects Committee: headed by the General Manager, it is the body that monitors B:SM’s strategic projects. It meets up every fortnight (alternately with the Steering Committee) attended by the managers involved in or affected by the project being carried out.

Division Committee: this is the body that monitors and coordinates each division’s management. It is also the body that reports the decisions adopted by the Steering Committee. Headed by the corresponding manager, it is made up of the people in charge of the various areas. It meets once a fortnight. In the specific case of the Deputy Directorate of Operations, the divisions will close the budget and approve it here before consolidation at B:SM.
INTERNAL ORGANISATION
The organisational structure meets the aim of facilitating operations based on a threefold purpose:

Maximum operating capacity of the various divisions or companies providing clients with services.

Bringing them all together in a powerful business corporation: B:SM.

Coherence and coordination with the Municipal Manager's Office and the various service departments at the City Council taking part in some way in B:SM’s goals and tasks.
Headed by the General Manager, the organisation is coordinated around two deputy general manager’s offices (the DGM for Economics and Finance and the DGM for Operations) and a corporate services area.

The Deputy General Manager’s Office for Economics and Finance plans, sets guidelines and implements economic, financial and legal variables for each business division and for B:SM in consolidated areas, as well as for the group of investee companies, both those where there is a minority shareholding and especially those where B:SM has a majority or 100% shareholding. It also manages the interests of Barcelona City Council and B:SM in the B:SM Group and in the minority shareholdings of all the companies that B:SM is a shareholder in. It is responsible for obtaining appropriate resources for funding the investments needed for meeting B:SM’s goals. It is responsible for preparing the documents for boards of directors and the office that will maintain ties with the City Council in these issues.

The main goals of the Deputy General Manager’s Office for Operations shall be as follows:
a. To promote and ensure efficiency and quality in the provision of the various services undertaken and managed by the business divisions.
b. To detect new business opportunities and efficiently manage the work that the City Council may task B:SM with undertaking.
c. To revitalise the action of each business as a complete company and find the efficient management framework, always taking account of the views of city residents and economic, social and environmental sustainability in carrying out these responsibilities.
d. To plan and set guidelines in the corporate divisions of the Deputy Manager’s Office: (I) information systems; (II) technical services; (III) general legal services; (IV) public procurement and purchasing; (V) commercial and corporate marketing, and implementing the various guidelines in B:SM’s business areas and structure.
e. To coordinate the relations and services provided by the Deputy Directorate for Economics and Finance and for Corporate Services, especially as regards financial and personnel aspects.
f. To maintain the corresponding contacts with the areas, services and municipal sectors involved in the operational implementation of the activities of the various divisions and companies.

Corporate Services Area. This area, made up of the Corporate People Manager's Office, the Corporate Governance Manager’s Office, the Corporate Governance and Transparency Manager's Office, the Communication and Press Unit and the Studies and R&D&I Unit, has a twofold goal but with a common theme: relations and communication with people.
They are responsible, on the one hand, for structuring the labour relations system, setting the development policy for the people working at B:SM and coordinating the policies that have to be complied with in these areas of competence in each division by the respective manager’s offices, and to promote B:SM’s system of integrity and everything relating to Transparency and right of access to public information.
They are also responsible for maintaining B:SM’s institutional relations, especially with the City Council and its communication, press, institutional-relations and protocol areas, in accordance with the instructions received from B:SM’s Chair, besides promoting innovation.
Two companies wholly owned by B:SM stand out from the organisational system, Parc d’Atraccions Tibidabo SA and Cementiris de Barcelona SA, which, in some disciplines, may be included in the coordination carried out by the deputy general manager’s offices, despite the high level of independence that they have in management.
